Terms & Conditions

These terms govern your use of this website and any advisory service you take from this practice. By using the site, booking a call, or paying for a service, you accept them.

Who you are contracting with. Rakesh Jain, sole proprietor, business advisory practice, Indore, Madhya Pradesh, India (“the practice”, “we”, “us”). Full contact details appear in the footer of every page.

What is offered

  1. Business Clarity Call — a free conversation of about thirty minutes, by phone or video. No fee, no obligation on either side.
  2. Open seminars — group sessions in Indore, free or at a nominal fee announced for each event.
  3. Baithak — a paid peer-advisory group of eight to ten non-competing owners meeting monthly.
  4. One-to-one advisory — a paid engagement with an individual business, on terms agreed separately in writing for each client.

Every paid engagement is also governed by whatever we agree specifically in writing for it. Where that written agreement differs from these terms, the written agreement wins.

What advisory means here, and what it does not

We give business counsel drawn from four decades of running businesses. We do not provide legal, tax, audit, accounting, insurance, securities or investment advice, and nothing on this website or said in a session should be treated as any of those. For those matters, consult a qualified professional — a chartered accountant, company secretary, lawyer or registered investment adviser as appropriate.

Decisions about your business remain yours. We do not manage your business, sign on your behalf, operate your accounts, or take executive responsibility for outcomes.

No guarantee of results. Business results depend on markets, capital, people, timing and your own execution, none of which we control. Nothing here is a promise of any revenue, profit, saving or growth. Any outcomes described on this site relate to specific businesses in specific circumstances and are not a prediction of what will happen in yours.

No commission, no stake. We do not take referral fees or commissions from banks, chartered accountants, software vendors, suppliers or anyone else, and we do not take an equity stake in a client’s business. If a name is suggested to you, we earn nothing from it.

Booking, fees and payment

  • Clarity Calls are booked through Cal.com. Please arrive on time or cancel in advance; the slot is held for you.
  • Fees for paid services are stated before you commit, in writing, in Indian Rupees (INR). Applicable Goods and Services Tax is charged where the practice is required to charge it.
  • Payments are collected through Razorpay. By paying you also accept Razorpay’s terms. We never handle or store your card, UPI or bank credentials.
  • Access to a paid programme begins when payment is received and confirmed.

Your responsibilities

You agree to give information about your business that is accurate and complete to the best of your knowledge — advice built on wrong numbers is worse than no advice. You agree to respect the confidentiality of anything shared by other members in a Baithak sitting or a seminar. You agree not to record a session without the prior consent of everyone in it.

Confidentiality

What you tell us about your business stays with us and is not disclosed to any third party except where the law requires it or you consent in writing. In Baithak, the same obligation binds every member, from the first sitting. Anonymised, non-identifying observations may be used in general teaching, but never in a form from which your business could be recognised.

Intellectual property

The text, design, structure, frameworks (including the four-season framework) and photographs on this website belong to the practice, except where credited otherwise. Any materials issued during an engagement are licensed to you for use within your own business. They may not be resold, redistributed, taught commercially, or published without written permission.

This site links to WhatsApp, YouTube, Cal.com and Razorpay. We are not responsible for their content, availability or practices. Your use of those services is governed by their own terms.

Limitation of liability

To the extent Indian law permits, the total liability of the practice arising out of or in connection with any service is limited to the amount you actually paid for that service in the twelve months before the claim arose. We are not liable for indirect, incidental or consequential loss, or for lost profits, lost business, or lost data.

Nothing in these terms limits liability for fraud or for anything that cannot lawfully be limited.

Suspension and termination

We may decline or end an engagement — including membership of Baithak — if a participant breaches confidentiality, behaves in a way that damages the group, or supplies materially false information. Where we end an engagement without cause, unused fees are refunded on a pro-rata basis under the Refund Policy.

Governing law and jurisdiction

These terms are governed by the laws of India. The courts at Indore, Madhya Pradesh have exclusive jurisdiction over any dispute. Before going to court, both sides agree to attempt to settle the matter in good faith through discussion for at least thirty days.

Changes

We may revise these terms. The current version is always the one on this page, with its date at the top. Continuing to use the site or a service after a change means you accept the revised terms.
